Commercial Structure & Partnership Terms

This page outlines the commercial and operational framework used within Illumni Castle partnerships.

Partnership Model

The partnership is structured as a performance-based operational collaboration. There are no fixed management fees or upfront charges.

Revenue is shared only when revenue is generated, ensuring incentives remain aligned between both parties.

Revenue Definitions

Gross Revenue
Total platform receipts generated by the account prior to platform fees.

Net Revenue
Revenue remaining after platform fees have been deducted.

Distributable Revenue
Net revenue subject to revenue sharing between partners.

These definitions are provided to reduce ambiguity and prevent future disputes.

Revenue Share

Distributable revenue is allocated according to the agreed split ratio. Unless otherwise specified in writing, the standard allocation is:

Agency Partner: 60%
Operating Partner (Illumni Castle): 40%

Revenue sharing applies only to revenue generated during active operations.

Operational Cost Responsibility

Operational costs related to account management, including staffing and tools required for execution, are handled by the operating partner unless otherwise agreed.

Platform fees and applicable transaction costs are deducted prior to revenue distribution. Any exceptional costs outside standard operations are discussed and aligned in advance.

Reporting & Settlement

Performance reporting is provided on a regular cadence covering revenue, trends, and operational indicators.

Revenue settlement is conducted on a periodic basis following reconciliation of platform data. Specific reporting schedules and settlement timing are confirmed prior to launch.

Exclusivity & Conduct

During active operations, accounts covered under this partnership are managed exclusively within the agreed framework.

Both parties are expected to operate in good faith and maintain professional conduct aligned with platform rules and applicable regulations.
